Sponorship Terms and Conditions

  • 1. Agreement: The Sponsor Application (including these Sponsorship Terms and Conditions) constitutes a binding legal agreement between Company and Sponsor (the \"Agreement\"). It is the entire understanding between the parties and supersedes all prior discussions and agreements between the parties relating to its subject matter. This Agreement can be modified only by a written amendment signed by Company and Sponsor.
  • 2. Term and Termination: The Agreement on the date Company notifies Sponsor it has accepted Sponsor\'s signed Sponsor Application and will expire upon ten (10) business days after the conclusion of the applicable Event. Either party may terminate this Agreement immediately if the other party fails to cure a material breach of this Agreement within thirty (30) days of receipt by the breaching party of written notice of such breach from the non-breaching party.
  • 3. Use of Marks: Subject to Sponsor\'s prior written approval, which will not be unreasonably withheld or delayed, Sponsor grants Company a license to use Sponsor\'s trademarks, service marks, logos and designations to perform Company\'s obligations under this Agreement, including in Company\'s Event materials, advertising and promotional materials and other communications. Sponsor\'s trademarks, service marks, logos and designations, licensed hereunder will remain the property of Sponsor. Any and all rights under trademark or copyright law or otherwise relating to such items will inure to the benefit of Sponsor. The right to use Sponsor\'s marks as permitted under this Agreement is non-assignable, non-exclusive and non-transferable. Company will submit any promotional materials and advertisements using Sponsor\'s trademarks to Sponsor prior to any commercial availability thereof. Sponsor will approve or disapprove such materials within five (5) working days of such submission. If Sponsor fails to approve such materials within such period, the submitted material may be deemed approved. This license to use Sponsor\'s trademarks will terminate with the expiration or termination of this Agreement.
  • 4. Indemnification:
    • 4.1 Company agrees to defend, indemnify and hold harmless Sponsor and its affiliated companies, and their respective employees, directors and officers from and against any and all third party claims, demands, suits, expenses, judgments, awards, fines, fees (including court costs and reasonable attorneys\' fees) arising out of or related to Company\'s negligent or intentional acts or omissions in connection with the Event. Sponsor will promptly notify Company of any such claim.
    • 4.2 Sponsor agrees to defend, indemnify and hold harmless Company and its affiliated companies, and their respective employees, directors and officers from and against any and all third party claims, demands, suits, expenses, judgments, awards, fines, fees (including court costs and reasonable attorneys\' fees) arising out of or related to Sponsor\'s sponsorship of and participation in the Event, including without limitation claims: (i) that Sponsor\'s trademarks, when used in accordance with Sponsor\'s written approval, infringe any intellectual property or proprietary rights of any third party; or (ii) based on quality or performance of Company\'s products or services. Company will promptly notify Sponsor of any such claims.
  • 5. Independent Contractors: Company and Sponsor are independent contractors. Nothing contained herein will constitute or be construed as the creation of any partnership, agency or joint venture relationship between the parties. Neither party will have the right to obligate or bind the other in any manner whatsoever.
  • 6. Consequential Damages: In no event will either party be liable to the other party or to third parties for lost profits or other consequential, incidental, indirect, special, punitive damages of any nature whatsoever, including, without limitation, loss of profits, loss of business, or anticipatory profits, even if such party has been apprised of the likelihood of such damages.
  • 7. Assignment: Neither party will assign any right or interest herein nor delegate any duty or obligation without the prior written consent of the other, unless the assignment is made to a successor in interest or to an entity that purchases all or substantially all of its assets.
  • 8. Governing Law: This Agreement will be governed exclusively by and construed in accordance with the substantive laws of the District of Columbia without regard to principles of conflicts of law.

Exhibitor Terms and Conditions

  • 1. Subject to the availability of booth space, the Sponsorship, Exhibitor & Advertising Form for the conference becomes a binding contract upon the American Sleep Apnea Association\'s (ASAA) issuance of a confirmation notice after receiving a fully completed application and good funds in the full amount owed for the exhibit space requested.
  • 2. Classification of exhibits and assignment of space in the Exhibit Area will be determined by ASAA at its sole discretion, and due to the great number of companies exhibiting similar or related product lines, ASAA cannot guarantee that a company exhibiting similar products (including an exhibitor\'s competitor) will not be located in a nearby or adjoining booth space.
  • 3. ASAA reserves the right to take the following actions at its sole discretion:
    • a. To prohibit any exhibit, or part thereof, which violates this Agreement or is, in any other way, not suitable for, or in keeping with, the character and spirit of the Conference;
    • b. To close any exhibit which is found to be too loud, disruptive, disturbs other exhibits or violates this Agreement;
    • c. To refuse to permit an Exhibitor who violates this Agreement to participate in one or more future ASAA Conferences;
    • d. To change the floor plan (including but not limited to booth size and type), without notice, in order to comply with fire, safety and accessibility regulations, or to provide, in ASAA\'s exclusive judgment, a safer, more satisfactory, more balanced, attractive and successful Conference; and
    • e. To enforce strict compliance with any of the terms and conditions of this Agreement.
